Situation

Slovak farm and landowner want to sell part of his farm and related property to raise cash for further investments.

In 2019 a circa 2000 hectare Slovak farm holding with both lease lands and agricultural lands in ownership wants to divest part of his farm and related property, including some 950 hectares of its lands. They wanted to sell to a larger internal agricultural company in Slovakia. Besides, the Slovak farm wanted to renew it in cooperation with a local farm operator for the remaining lands it kept. The Slovak farm had a complex structure with many stakeholders involved and difficult lease conditions. The owners needed professional advise and support on restructuring their organization, realizing the sale of part of the farm and at the same time continuing the relation with the operating company.

Pro4CE consulting and brokerage role

Restructuring (both legally and financially) of the Slovak farm and structuring and realizing the sale of part of the company and owned property (leased and owned land)

Pro4CE was assigned by the owners of the Slovak farm to assist them in these tasks. Because of the complexity of the case, we closely worked together with legal and fiscal advisors from our network. The main goal of our client was to restructure the company in such a way that it was well prepared to sell part of its operation including circa 950 hectares of agricultural land that the company leased and owned.

Outcome

Restructuring of the company, realized sale of part of the company including part of its leased and owned land, continuing cooperation with local farm operator.

After a thorough analysis of our clients situation, we were able to restructure the company and to drastically simplify the complex (financial and legal) structure of the company with its stakeholders. As a consequence, we also succeeded in the successful sales of part of the company including circa 950 hectares. For the remaining 1000 ha that the farm still holds in lease and ownership, we managed to renew the preferred cooperation that our client had with a local farm operator. Because of the professional advise and support we delivered to our client, Pro4CE is still assigned as Agri property manager for the remaining parts of the Farm and its activities.

Pro4CE has played an important role in preparing our company to sell part of its activities and property. All the financial and contractual parts were very well managed by Pro4CE. They also succeeded to help us renew our cooperation with a preferred local farm operator. Currently Pro4CE is still closely working with us in Slovakia and managing our properties as local property manager.
